About the role

What this job involves.

The ideal candidate will have substantial experience in equity capital markets transactions, including Initial Public Offerings (IPOs), Follow-On Public Offerings (FPOs), Qualified Institutional Placements (QIPs), rights issues, preferential allotments and other equity capital markets deals.

The role will preferably suit someone who brings a strong client portfolio or a proven track record of leading high-value mandates.

Key responsibilities

What you will be doing.

  • Advise listed and unlisted companies on equity capital market transactions, including IPOs, QIPs, FPOs, rights issues, preferential allotments and private placements.
  • Lead and manage end-to-end execution of capital markets transactions, including structuring, documentation, regulatory approvals and completion, ensuring compliance with applicable laws and regulations.
  • Draft, review and negotiate transaction documents, including offer documents, placement agreements, underwriting agreements, shareholder agreements and other ancillary documentation.
  • Provide legal advice on the Companies Act, 2013, SEBI Regulations (including ICDR, LODR, PIT and Takeover Regulations), FEMA and applicable stock exchange requirements.
  • Coordinate with merchant bankers, investment bankers, registrars, auditors, stock exchanges, SEBI and other regulatory authorities throughout the transaction lifecycle.
  • Conduct legal due diligence and identify transaction risks, while recommending practical, commercially viable solutions.
  • Advise clients on corporate governance, continuous disclosure obligations and regulatory compliance applicable to listed entities.
  • Mentor and supervise associates, ensuring timely delivery and quality of work.
  • Participate in client meetings, pitches and business development initiatives, and contribute to relationship management with key clients and intermediaries.
  • Contribute to practice development by identifying new opportunities and expanding the firm’s Capital Markets practice.
What we are looking for

The profile that fits this mandate.

  • 8–12 years of experience (PQE preferred) in equity capital markets transactions.
  • Substantial hands-on experience across IPOs, FPOs, QIPs, rights issues, preferential allotments and private placements.
  • A strong client portfolio, or a proven track record of leading high-value mandates.
  • Deep working knowledge of the Companies Act, 2013 and SEBI Regulations, including ICDR, LODR, PIT and the Takeover Regulations.
  • Familiarity with FEMA and applicable stock exchange requirements.
  • Experience drafting and negotiating offer documents, placement, underwriting and shareholder agreements.
  • Experience conducting legal due diligence and translating transaction risk into commercially viable solutions.
  • Comfortable coordinating with merchant bankers, registrars, auditors, stock exchanges and SEBI through a transaction lifecycle.
  • Experience mentoring and supervising associates.
  • Appetite for business development, client pitches and practice growth.
